Terms and conditions

These terms govern the use of the WISE IT SRL website and the commercial relationship between us and our clients. By using the site you agree to them. Individually signed service agreements take precedence over this document wherever they say something different.

• "Site" means wiseit.ro and its subdomains.
• "We", "the company" means WISE IT SRL, a company registered in Romania.
• "Client" means the individual or company contracting services from us.
• "Services" means the software development, product design, AI integration, consulting and maintenance work we perform.
• "Deliverables" means the code, design, documentation and any other output handed over to the client.

We provide business-to-business services, including:

• Digital product, SaaS platform and web application development
• Custom-built internal systems and CRMs
• Mobile applications for iOS and Android
• AI agents, automation and language model integrations
• Product design, UX research and design systems
• Technical consulting, architecture audits and maintenance

The site is informational. No contracts are concluded and no payments are taken directly through it.

• Every engagement starts with a conversation and a written quote describing scope, price and timeline.
• Quotes are valid for 30 days from issue unless stated otherwise.
• Estimates given before the discovery stage are indicative and may be revised once requirements are clear.
• An engagement is considered started only after the contract is signed or the quote is accepted in writing.

• We invoice in milestones tied to delivery, as set out in the signed contract.
• Standard payment terms are 15 calendar days from the invoice date.
• Prices are quoted in euro or lei and exclude VAT unless explicitly stated otherwise.
• For delays beyond 30 days we may suspend work and access to staging environments, after prior notice.

• Fully paid deliverables become the client's property, including source code and its documentation.
• We reserve the right to reuse generic components, internal libraries and the know-how gained, without carrying over any client-specific data or logic.
• WISE IT brand elements, the website content and our own products remain ours.
• Third-party libraries used in a project remain under their original licences, which we disclose at handover.

We treat any business information received during a project as confidential and use it strictly to deliver the services. We sign a separate non-disclosure agreement whenever a client asks, usually before the first technical conversation.

We may mention a client's name and logo as a reference, together with a general description of the work. If you would rather not appear publicly, tell us and we leave you out. We never publish data, screenshots containing real information, or sensitive technical detail without written consent.

• We fix defects reported within 30 days of delivery free of charge, for the agreed scope.
• We do not guarantee uninterrupted availability of the site or of third-party services used in a project.
• We are not liable for indirect losses, lost profit or lost data arising from use of the deliverables after handover.
• Our total liability is limited to the amounts invoiced over the last 12 months for the project in question.

We may update this document. The version that applies to an engagement is the one in force on the date the contract is signed. Changes are published on this page along with the update date.

These terms are governed by Romanian law. Any disagreement is first addressed amicably and, failing that, by the competent courts in Romania.
